“We” means Intelligent Learning Solutions Ltd, referred to as ILS, and “our” or “us” shall be construed accordingly.

“You” means the person using the website of ILS and “your” shall be construed accordingly.

What is in this User Agreement?

This User Agreement sets out the content standards that apply when you link to our site, make contact with other users on our site, or interact with our site in any other way.

BY USING THIS SITE YOU ACCEPT THE TERMS OF OUR USER AGREEMENT AND OUR SUBSCRIPTION TERMS

If you do not agree to these terms, you must not use our site, whether by web browser and/or mobile device.

Changes to the User Agreement

This User Agreement may be changed by us at any time.  You will be deemed to accept the amended User Agreement when you next use the website. We suggest you visit the User Agreement each time you wish to use our site.

Prohibited uses

You may only use our site for lawful purposes, when purchasing our courses.

You may not use our site:

  1. In any way that breaches any applicable law or regulation
  2. In any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect

  4. To bully, intimidate, insult or humiliate any person

  6. To knowingly transmit any data, material containing viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other program or similar computer code designed to affect the operation of any computer software or hardware
  7. To seek to overload the system via spamming or flooding.

You agree:

  1. Not to reproduce, duplicate, copy or re-sell any part of our site
  2. Not to access, interfere with, damage or disrupt:  any part of our site, any software used in our site, any equipment or network on which our site is stored, ours and any owned by any third party
  3. Not to attempt to decipher, disassemble or modify any of the software, coding or information comprised in the website
  4. You are solely responsible for any information submitted by you to the website
  5. You are responsible for ensuring that all information supplied by you is true, accurate, up-to-date and not misleading or likely to mislead or deceive.

Breach of this User Agreement

If we consider a breach of this User Agreement has occurred, we may take such action (all or any of the following) as we deem appropriate:

  1. Immediate, temporary or permanent withdrawal of your right to use our site
  2. Issue of a warning to you
  3. Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach
  4. Further legal action against you
  5. Disclosure of such information to law enforcement authorities as we reasonably feel is necessary or as required by law.

We exclude our liability for all action we may take in response to breaches of this User Agreement.  

The actions we take are not limited to those described above and we may take any other action we reasonably deem appropriate.

Interruptions to service

The internet is not an inherently stable medium and error, omissions, interruptions of service and delays may occur at any time.

We do not accept any liability arising from such interruptions to service, or any ongoing obligation or responsibility to operate the website or to provide the services offered on the site.

Links to other sites

Our website contains links to other websites.  

This User Agreement only applies to this Website, so when you link to other websites, third parties may collect or share data about you.  We do not control these third party websites and consequently do not accept any liability arising from their use.  

When you leave our website, we strongly recommend you read the Privacy Policy and Terms & Conditions of every website you visit.

We make every effort to ensure that the information on our website is accurate and complete.  We do not accept any liability arising from any inaccuracy or omission in any of the information on our website, or any liability in respect of information on the website supplied by you.

Subscription Terms

Please read this section carefully.

The subscription agreement is a legal agreement between you and Intelligent Learning Solutions Ltd for eLearning computer software.

We do not sell the software to you.

We remain the owners of the software at all times.

The software is intended for domestic, private and personal use by you only.

You acknowledge that the software has not been developed to meet your individual requirements;  it is your responsibility to ensure the facilities and functions of the software, as described on the website, meet your requirements.

Subscription Agreement

You agree to abide by the User Agreement. We provide you with unlimited web-based access to the course(s) purchased under the subscription, to use the software for a period of one (1) year from acceptance of the Agreement.

Restrictions

You must not:

  1. Transfer ownership of the subscription access to the software
  2. Copy the software
  3. Rent, lease, sub-subscribe, loan, translate, merge, adapt, vary, alter or modify the whole or any part of the software
  4. Permit the software or any part of it to be combined with, or become incorporated in, any other programs
  5. Disassemble, de-compile, reverse engineer or create derivative works based on the whole or any part of the software
  6. Create any software that is substantially similar in it's expression to the ILS software
  7. Provide or make available the software to any other person
  8. Use the software in any commercial or educational environment outside of personal use
  9. Use the software as your personal teaching resource.

Security and Passwords

In order to register with the website and sign in to your account when you visit the site, you will need a username and password.

You are responsible for the security and proper use of your password.  You should keep your password confidential at all times and not disclosed to any other person.

You must notify us immediately if you believe that your password has been used in an unauthorized way.

We accept no liability for any unauthorized or improper use or disclosure of any passwords. 

Cancellation

You may cancel your purchase of the course within the period of 14 calendar days from the date of purchase.

Once the course has been accessed/activated on our website, this is an indication of use of service and acceptance of our Subscription Terms.  

At this point, you lose the right to cancel, no refunds will be issued, even with the standard 14-day cooling-off period.

All cancellations will be subject to a 20% cancellation charge for administration, which will be deducted from any refund due to you.

Termination

We may terminate your registration and/or deny you access to the website at any time in our absolute discretion and without any explanation or notification.

Our Rights to Make Changes

We may change the product to reflect changes in relevant laws and regulatory requirements and to implement minor technical adjustments and improvements. These changes will not affect your use of the product.

Providing the Products

We will supply the digital content to you until the subscription expires.

If the supply of the product is restricted by events outside of our control, we will endeavour to communicate the issue and the steps we plan to take to rectify the situation in the shortest time we are able.

Disputes

The terms of this agreement are governed by English law and have jurisdiction in the courts of England and Wales.  If you are resident in Northern Ireland or in Scotland, you may bring proceedings in Northern Ireland or Scotland respectively.

INTELLECTUAL PROPERTY RIGHTS

You acknowledge that:
  1. Globally, all intellectual property rights in the software belong to Intelligent Learning Solutions
  2. You have no intellectual property rights in the software you access via our website
  3. You have the right to use the software for domestic and private use
  4. You do not have the right to access the software in source code

Copying, adapting or any other use of all or parts of the course material without our express permission is strictly prohibited.

TUTOR SERVICE

These are the terms and conditions on which we supply the tutoring service to you.

The tutor service is only available on our acceptance of your order and payment for the 12 month subscription service to the Whole Course Bonus Bundle.

It is not available following the purchase of the subscription(s) to individual topic(s).

The tutor service will only be available for the duration of your subscription to the Whole Course Bonus Bundle.

On receipt of your payment for the Whole Course Bonus Bundle, we will send you, via the e-mail address you have provided us, the means with which to contact our tutor support.

Your initial contact, and our first attempt to answer any tutor-support query, will be via e-mail.

If we cannot resolve the query via e-mail, then we will provide you with the option to access the next-step tutor support by video conference.

Acceptable Use Policy (for the Tutor Service)

This acceptable use policy sets out the terms between you and us under which you may access our tutor support.

Your use of this service means that you accept, and agree to abide by, all the policies in this acceptable use policy, which supplement our terms of the subscription service.

You may not use this service:

  1. In any way that breaches any applicable local, national or international law or regulation
  2. In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect
  3. For the purpose of harming or attempting to harm minors in any way
  4. To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards
  5. To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other forms of solicitation
  6. To transmit unlawful material that is defamatory, threatening, discriminatory, extremist or which has the potential to radicalise themselves or others
  7. To transmit material that infringes the intellectual property right or privacy rights of a third party, or that is in breach of a legal duty owed to another party
  8. To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

Content Standards

These content standards apply to any and all material which you contribute to our tutor service and to any interactive services associated with it.

You must comply with the spirit and the letter of the following standards:

Contributions must not:

  1. Contain any material which is defamatory of any person
  2. Contain any material which is obscene, offensive, hateful or inflammatory

  7. Be likely to deceive any person

  10. Be threatening, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety
  11. Be likely to harass, upset, embarrass, alarm or annoy any other person
  12. Give the impression that they emanate from us, if this is not the case
  13. Advocate, promote or assist any unlawful act such as copyright infringement or computer misuse

Frequency of Access

We will endeavour to provide as much support as is feasibly possible and as such, have not determined a cap on the frequency of access of the tutor support service.

You have a responsibility to understand we have limited resources, and at times we may be unable to provide you with the service you wish.

We retain the right to determine if one user's frequency of request for tutor support are at the detriment to other customers and should this be the case, we will notify you of the situation.

Suspension and Termination

We will determine, at our discretion, whether there has been a breach of this Acceptable Use Policy through accessing our services.

When a breach of this policy has occurred, we may take such action as we deem appropriate, which may result in our taking all or any of the following actions:

  1. Immediate, temporary or permanent withdrawal of your right to use our services
  2. Issue of a warning to you
  3. Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach
  4. Further legal action against you
